Terms of Service

Please read these Terms of Service carefully before using IEP Desk. By creating an account or accessing any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and IEP Desk ("IEP Desk," "we," "our," or "us") governing your access to and use of the IEP Desk website at iepdesk.com and the web application at app.iepdesk.com (collectively, the "Service").

By registering for an account, clicking "I agree," or using the Service in any way, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws.

2. Description of Service

IEP Desk is a productivity and organizational tool designed to help parents and guardians of children with Individualized Education Programs (IEPs) manage their child's special education process. The Service includes, without limitation:

  • Secure storage and organization of IEP documents and related information.
  • AI-assisted analysis of uploaded IEP documents.
  • A legal rights information module explaining parent rights under the Individuals with Disabilities Education Act (IDEA) and related federal law.
  • An AI Legal Assistant that answers questions about special education law.
  • Document and letter generation tools.
  • Progress tracking, calendar, diary, and meeting preparation features.

Important disclaimer: IEP Desk is an informational and organizational tool. It is not a law firm and does not provide legal advice. Nothing on IEP Desk constitutes legal advice, creates an attorney-client relationship, or should be relied upon as a substitute for consultation with a qualified special education attorney or advocate. Information provided by the AI Legal Assistant is based on general federal law and may not reflect state-specific regulations or the specific facts of your situation.

3. Account Registration and Security

To access the application at app.iepdesk.com, you must register for an account using a valid email address and create a password. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your password and be responsible for all activity that occurs under your account.
  • Notify us immediately if you suspect unauthorized access to your account, using the contact information in Section 15.
  • Not share your account credentials with any other person.

IEP Desk reserves the right to suspend or terminate accounts where we have reason to believe that account credentials have been compromised or that the Terms are being violated.

4. Subscription, Payment and Access

Access to the full features of app.iepdesk.com requires an active paid subscription. Subscriptions are managed through a third-party platform (currently Skool). By subscribing, you agree to the applicable terms of that platform in addition to these Terms.

IEP Desk uses an automated system to verify active subscriptions. Access to the application is granted automatically upon confirmed subscription and deactivated automatically upon subscription cancellation or expiration. IEP Desk is not responsible for errors caused by delays in the subscription verification system.

A free trial period may be offered at our discretion. During any trial period, you have access to the full features of the Service. We reserve the right to modify, suspend, or discontinue any trial offer at any time.

All subscription fees are collected and managed by the third-party subscription platform. Refund requests are subject to the refund policy of that platform.

5. Acceptable Use

You agree to use the Service only for its intended purpose — to help you manage your child's IEP process — and in compliance with all applicable laws. You agree not to:

  • Use the Service on behalf of any child who is not your own child or a child for whom you are the legal guardian.
  • Upload documents or content that you do not have the legal right to share.
  • Attempt to reverse-engineer, decompile, or extract the source code of the application.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use automated tools (bots, scrapers, crawlers) to access the Service.
  • Use the Service to harass, threaten, or harm any person or entity.
  • Violate any applicable local, state, national, or international law or regulation.
  • Upload malicious code, viruses, or any material that could harm the Service or other users.

IEP Desk reserves the right to suspend or terminate access to any user who violates these restrictions, without prior notice and without liability.

6. AI Features — Specific Terms and Disclaimers

The Service includes AI-powered features, including IEP document analysis and the AI Legal Assistant. By using these features, you acknowledge and agree that:

  • AI-generated outputs are provided for informational and organizational purposes only and do not constitute legal advice.
  • AI outputs may be incomplete, inaccurate, or not applicable to your specific jurisdiction or situation. You should verify any AI-generated information independently.
  • The AI Legal Assistant's responses are based on general federal special education law (primarily IDEA and Section 504) and may not account for state-specific regulations, recent legislative changes, or the specific facts of your child's situation.
  • Documents and letters generated by the AI are templates and starting points. You are responsible for reviewing, modifying, and verifying all generated documents before using them in any official capacity.
  • IEP Desk is not responsible for any outcome resulting from reliance on AI-generated content.

7. User Content

You retain full ownership of all documents, data, and content you upload or enter into the Service ("User Content"). By uploading User Content, you grant IEP Desk a limited, non-exclusive license to process and store that content solely for the purpose of providing the Service to you.

You represent and warrant that: (a) you own or have the right to upload all User Content; (b) your User Content does not violate any third party's rights; and (c) your User Content does not violate any applicable laws.

IEP Desk does not claim any ownership over User Content and will not use it for any purpose beyond providing the Service, as described in our Privacy Policy.

8. Intellectual Property

The IEP Desk Service — including the website, application, software, design, text, graphics, and all other content created by IEP Desk — is protected by copyright, trademark and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any IEP Desk content without our express written permission.

The IEP Desk name and logo are proprietary marks. Nothing in these Terms grants you any right to use any IEP Desk trademarks, service marks, or trade names.

9. Third-Party Services and Links

The Service may integrate with or link to third-party services (including Supabase, Anthropic, Skool, and external information resources). These third-party services are governed by their own terms and privacy policies. IEP Desk is not responsible for the practices, content, or availability of any third-party service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

IEP Desk does not warrant that: (a) the Service will be available at all times; (b) information provided by the Service is accurate, complete, or up to date; or (c) use of the Service will achieve any particular outcome in any IEP process, legal proceeding, or dispute.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IEP DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF OPPORTUNITY, OR ANY OTHER INTANGIBLE LOSS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF IEP DESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall IEP Desk's total liability to you for any claims arising from use of the Service exceed the total amount you paid to IEP Desk in the 12 months preceding the claim, or $100 USD, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless IEP Desk and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third party's rights.

13. Termination

You may terminate your account at any time by deleting your account through the application settings or by contacting us. Upon termination, your right to access the Service ceases immediately.

IEP Desk reserves the right to suspend or terminate your account, with or without notice, if you violate these Terms, if your subscription lapses, or if we determine in our sole discretion that termination is necessary to protect the Service or other users.

Upon termination, your data will be handled in accordance with the data retention provisions of our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class action or representative proceeding.

15. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify active users by email or through a prominent in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
